Terms and conditions of sale

1. GENERAL :
By placing an order, the buyer acknowledges having read and accepted our terms and conditions of sale without reservation. Our products and deliveries are subject to the present terms and conditions, which take precedence over any terms and conditions appearing on the purchaser’s documents.

2. AWARDS :
The applicable prices are those of our price list in force on the day of delivery. Prices are ex works, packing extra. However, this provision does not apply to special orders to be manufactured to particular specifications, which may give rise to a price revision in line with changes in economic conditions.
Orders under 100 euros net, excluding VAT and shipping costs, will be subject to a 25 euros administration charge.

3. ORDER REGISTRATION :
All written, verbal or telephone orders will only be definitively concluded when they are confirmed by an order acknowledgement. Changes subsequent to this acknowledgement are only valid if expressly confirmed by us in writing.
For all first orders placed by new customers, payment must be made by bank transfer or cheque before the goods are dispatched.

4. DELIVERY TIME :
The delivery times indicated in our proposals are only indicative. Delays cannot give rise to damages, penalties or cancellation of the order, unless stipulated on our acknowledgement of receipt.

5. RISK TRANSFER CLAUSE :
Our products travel at the recipient’s risk, whatever the shipping method. It is the buyer’s responsibility to make any reservations with the carrier in accordance with article 100 of the French Commercial Code. Deliveries to third parties are made under the buyer’s responsibility.

6. CANCELLATION OF ORDER :
Any cancellation of an order by the customer, subsequent to our acknowledgement of receipt, will not be accepted if the order has begun to be executed in terms of both supplies and production, and will be subject to pro rata invoicing of all costs incurred (tooling, components, raw materials, etc.).

7. WARRANTY :
The designations and characteristics given in the catalog are for guidance only. They are subject to change without notice or obligation to inform our customers.
EUROSTEAM brand appliances come with a 2-year warranty, except for the Battery Scrubber-Dryers, Central Cleaning Units and Fan ranges, which come with a 1-year warranty – except for batteries, which are not guaranteed.
This warranty covers manufacturing or material defects and is limited to the supply of parts recognized as defective by our company.
Our warranty excludes :

  • – Wear parts and damage resulting from normal wear and tear.
  • – Modified equipment.
  • – Equipment used in contravention of the recommendations in the manual.
  • – Equipment that is abused or not regularly maintained
  • – Damage caused by careless use: knocks, falls, crushing.
  • – Our warranty does not cover accidents arising from normal wear and tear, deterioration or faulty or abnormal use of the equipment. Under no circumstances does recourse to the warranty authorize the suspension of payment of the equipment to our company or its postponement.
    All claims for errors, shortages or apparent defects must be made within 8 days of receipt of the goods by the customer.
    In the case of special orders, such as manufacturing to drawings or customer specifications, our warranty applies to compliance with instructions and proper execution of the work, to the exclusion of all other warranties.
    Our warranty does not extend to models that have been modified or used outside normal operating conditions.

8. SPARE PARTS :
In accordance with Decree No. 2014-1482, EUROSTEAM undertakes to supply spare parts (value in use) for a period of 4 years from the date on which production of the product ceases.

9. RETURN OF GOODS :
The return of goods under warranty will only be made after acceptance by Eurosteam.
Any other return of new material will not be accepted without our prior agreement and on condition that the goods were received by the customer less than three months ago. Goods must be returned in their original condition and packaging.
A 20% discount will be applied, and return shipping costs will be borne by the sender.

10. PROFESSIONAL DEEE :
In line with the WEEE directive, EUROSTEAM is committed to recycling its machines at end-of-life. For further information, please contact the company.

11. PAYMENT :
The only terms of payment accepted are those stipulated in our offers and confirmed or modified in our order acknowledgements. In application of the provisions of law N° 2008-776 of August 04, 2008, known as the LME law, all invoices must be paid either within 45 days of the end of the month, or within 60 days net from the date of invoice. If payment is made within 14 days of the invoice date, we grant a 1% discount.
Any sum not paid by the due date will incur interest on arrears at 3 times the legal rate per annum, and all invoices not yet due will become immediately payable, as will those for other due dates, even if they have given rise to bills of exchange. In accordance with Decree 2012-1115 of October 02, 2012 an additional penalty of €40 will be applied. In the event that the collection costs incurred are higher, EUROSTEAM may, upon justification, claim a higher fixed indemnity.
In the event of non-payment of a single instalment, we reserve the right :

  • – to require cash payment for all outstanding orders.
  • – demand the immediate return of the goods delivered.
  • – to interrupt deliveries, to cancel orders in progress or still to be delivered, and to use all legal means to recover our debt as quickly as possible. In the event of contentious recovery, an indemnity of 20% calculated on the sums effectively due will be applied as a penalty clause. We reserve the right to modify the terms of payment for current or future orders if drafts sent for acceptance are not returned within 15 days of dispatch.

12. RETENTION OF TITLE :
After delivery, the goods remain our property until full payment of the invoiced price. During this period, the customer assumes full responsibility for any damage to the goods. Should our customer fail to comply with any of the terms of payment, we may demand the return of the goods at the customer’s expense, either until full payment has been made, or by rescinding the contract by operation of law. On the other hand, we reserve the right, prior to each delivery, to have a certificate of retention of title signed, valid until full payment of the claim.

For sales abroad, the transfer of ownership and risk to the buyer is governed by the Incoterms currently in force.

13. SELLER’S LIABILITY :
In the event that the goods delivered do not conform to the specifications, the Vendor’s liability under this clause shall be excluded if, within 3 months of delivery of the goods, the Buyer fails to notify the Vendor of any defects observed.
In no event shall the Seller be liable to the Buyer for loss of profits, loss of sales, loss of customers, or for any indirect, financial or consequential loss, however caused.

14. JURISDICTION :
In the event of any dispute or litigation that cannot be settled amicably, the Rouen Commercial Court shall have sole jurisdiction.
In the case of international sales, and unless otherwise expressly agreed, French law shall apply.
